Terms and Conditions of Sale

1. Scope of Application: These Terms and Conditions ("Terms") apply to all sales and transactions between Cosmostics Co., Ltd. ("the Company") and its customers. By placing an order, the customer expressly waives the application of their own terms and conditions, even if submitted after these Terms. Any exceptions must be explicitly agreed upon in writing in advance.

2. Orders and Formation of Contract: A sales contract is deemed to be concluded when the Company issues an order confirmation or shipping notification. Product prices, specifications, and availability are subject to change without prior notice.

3. Payment Terms: Unless otherwise specified, all invoices are payable within 30 business days of issuance. In the event of late payment, the Company reserves the right to charge a fixed interest rate of 10% of the outstanding amount. If payment is delayed, the Company may suspend delivery or service without prior notice.

If payment remains outstanding for more than 60 days after the due date, the Company reserves the right to engage a debt collection agency. Any legal or collection costs incurred will be borne by the customer.

4. Withholding Tax: In jurisdictions where tax withholding is required, the customer is responsible for remitting such tax directly to the local tax authorities. Cosmostics Co., Ltd. shall not be liable for any local tax obligations. The full invoice amount remains due to the Company without deductions for withholding or other local taxes.

5. Delivery and Performance: The Company will make reasonable efforts to deliver goods and provide services according to agreed schedules. However, all delivery times are estimates and not guaranteed. The Company’s obligations are on a best-effort basis and do not guarantee specific results.

6. Claims and Limitation of Liability: Any claims regarding goods or services must be submitted by registered mail within 5 days of delivery. The Company accepts no liability for indirect or consequential damages. Cosmostics Co., Ltd. is not obligated to act as a third party or provide legal support in disputes between the customer and any end user or third party.

7. Returns and Refunds: Products may be returned within 5 days of receipt if they are unused, unopened, and in their original packaging (with proof of purchase included). Approved returns will be refunded to the original payment method within 3 business days after inspection.

8. Intellectual Property: All content on the Company’s website, including product descriptions, logos, images, and text, is the intellectual property of Cosmostics Co., Ltd. or its licensors. Unauthorized use or reproduction is strictly prohibited.

9. Governing Law and Jurisdiction: These Terms and all transactions with the Company are governed exclusively by the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance for any disputes arising in connection with these Terms.
